BOOKXPERT.CO LICENSE AGREEMENT FOR BOOKXPERT SOFTWARE PVT LTD
IMPORTANT-READ CAREFULLY:

This BOOKXPERT End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and BOOKXPERT PVT LTD for the BOOKXPERT software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). The SOFTWARE PRODUCT also includes any updates and supplements to the original SOFTWARE PRODUCT provided to you by FAIR SOFT SOLUTIONS. Any software provided along with the SOFTWARE PRODUCT that is associated with a separate end-user license agreement is licensed to you under the terms of that license agreement. By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT; you may, however, return it to your place of purchase for a full refund with in 15 days.

DEFINITIONS:
  1. "Education Version" means a version of the Software, so identified, for use by students and faculty of educational institutions, only.
  2. "Not For Resale (NFR) Version" means a version, so identified, of the Software to be used to review and evaluate the Software, only.
  3. "Fair Soft Solutions" means BOOKXPERT Pvt Ltd and its licensors, if any.
  4. "Software" means only the BOOKXPERT program(s) and third party software programs, in each case, supplied by BOOKXPERT herewith, and corresponding documentation, associated media, printed materials, and online or electronic documentation.
  5. "Trial Version" means a version of the Software, so identified, to be used only to review, demonstrate and evaluate the Software for a limited time period. The Trial Version may have limited features, may lack the ability for the end-user to save the end product, and will cease operating after a predetermined amount of time due to an internal mechanism within the Trial Version.
SOFTWARE PRODUCT LICENSE

The SOFTWARE PRODUCT is protected by India & United States copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

  1. GRANT OF LICENSE:
    This EULA grants you the following rights:

    Installation and Use: Except as otherwise provided herein, you, as an individual may install and use copies of the SOFTWARE PRODUCT on an unlimited number of computers, including workstations, terminals or other electronic devices ("Computer(s)") provided that you are the only individual using the SOFTWARE PRODUCT. If you are an entity, you may designate one individual within your organization to have the right to use the SOFTWARE PRODUCT in the manner provided above. The SOFTWARE PRODUCT is in "use" on a Computer when it is loaded into temporary memory (i.e., RAM) or installed into permanent memory (e.g., hard disk, CD-ROM, or other storage device) of that Computer.

    Specified Operating Environment : The Program Specifications and Specified Operating Environment information may be found in the Installation/Users Guide provided with this program.

    Client/Server Software: The SOFTWARE PRODUCT may contain one or more components which consist of both the following types of software: "Server Software" that is installed and provides services on a computer acting as a server ("Server"); and "Client Software" that allows a Computer to access or utilize the services provided by the Server Software. If the component of the SOFTWARE PRODUCT consists of both Server Software and Client Software which are used together, you may also install and use copies of such Client Software on Computers within your organization and which are connected to your internal network. Such Computers running this Client Software may be used by more than one individual.

  2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.

    Limitations on Reverse Engineering, Decompilation, and Disassembly: You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

    Rental: You may not rent, lease or lend the SOFTWARE PRODUCT.

    Support Services: BOOKXPERT may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Use of Support Services is governed by the Fair Soft polices and programs described in the user manual, in "on line" documentation and/or other Fair Soft-provided materials. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA. With respect to technical information you provide to BOOKXPERT as part of the Support Services, FAIRSOFT SOLUTIONS may use such information for its business purposes, including for product support and development. Fair Soft will not utilize such technical information in a form that personally identifies you.

  3. Termination:
    Without prejudice to any other rights, BOOKXPERT may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.

  4. COPYRIGHT:
    All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by BOOKXPERT or its suppliers. The SOFTWARE PRODUCT is protected by India & United States copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material except that you may either (a) make one copy of the SOFTWARE PRODUCT solely for backup or archival purposes or (b) install the SOFTWARE PRODUCT on a single Computer provided you keep the original solely for backup or archival purposes. You may not copy the printed materials accompanying the SOFTWARE PRODUCT.

  5. U.S. GOVERNMENT RESTRICTED RIGHTS:
    The SOFTWARE PRODUCT and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable. Manufacturer is BOOKXPERT PVT LTD, flat no:102,Sai Srinivasam Apartment, 3rd Lane, Ashoknagar, Guntur - 522007.Andhra Pradesh.

  6. EXPORT RESTRICTIONS:

    You agree that you will not export or re-export the SOFTWARE PRODUCT, any part thereof, or any process or service that is the direct product of the SOFTWARE PRODUCT (the foregoing collectively referred to as the "Restricted Components"), to any country, person, entity or end user. You specifically agree not to export or re-export any of the Restricted Components

MISCELLANEOUS

If you acquired this product in India this EULA is governed by the laws of the State of India.
If you acquired this product in the United States, this EULA is governed by the laws of the State of Washington.
If you acquired this product in Canada, this EULA is governed by the laws of the Province of Ontario, Canada.

LIMITED WARRANTY

NO WARRANTIES: BOOKXPERT expressly disclaims any warranty for the Software Product. THE SOFTWARE PRODUCT AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH YOU.

NO LIABILITY FOR DAMAGES: In no event shall BOOKXPERT or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this BOOKXPERT product, even if BOOKXPERT has been advised of the possibility of such damages. In any case, Fair Soft Solution's entire liability under any provision of this EULA shall be limited to the greater of the amount actually paid by you for the Software Product or Indian Rupees Two hundred and fifty only or U.S. $5.00.

Some jurisdictions do not allow the exclusion or limitation of implied warranties, so the above exclusion or limitation may not apply to you. In that event such warranties are limited in duration to the warranty period. No warranties apply after that period.

SERVICE WARRANTY AND AMC POLICY 2022-2023

Money Back Warranty for 2 Weeks:

All our products are sold were as it is and with 2 weeks money back warranty. 100% amount will be returned if it is online installation and support without any questions. If any onsite installation and services were rendered call charges and TA, DA will be deducted from the refund amount. If you are not satisfied for suitability to your business process or user friendliness or features or for any other reason you are at liberty to return the product. Your claim must reach us through email or post within 2 weeks of installation. After 2 weeks it is deemed to be your acceptance and satisfaction of the product and your right to return will expire and under any circumstances claim of refund cannot be accepted and it is deemed that you have accepted our company’s AMC policy.

Free Service Warranty for 6 Months:

All our products are sold with 6 months free service period. In this period you can avail online service and support for training, troubleshooting etc., Any upgrades released during the period will be given free of cost during the period and these may be auto update or manual update. Company will not take any responsibility for protection of data hence clients has to take care of frequent backups and has to make their own arrangements for protection and preservation of data. Since the software is sold as it is any customizations requests cannot be entertained.

AMC Policy and Terms:

The current AMC policy from 1-4-2017 in force until new policy comes in. The AMC amount will be 20% of sale price subject to a minimum of Rs.4500/- for each installation. The registration fee of AMC is Rs.2500/-. Updation charges usually will be Rs.3500/- for each higher version release.

For the loyal customers who are in continuous AMC after warranty their registration fee of Rs.2500/- is waived. There is no need to pay upgradation charges for normal upgrades even for higher versions of Rs. 3500/- during the AMC period. In addition to above all, 30% discount will be given on Minimum amount of AMC i.e. 70% of 4500/- is Rs. 3000/- . All these discounts and concessions will be given for only continuous AMC customers from warranty period without any break in AMC.

During the period of AMC you can avail online service and support for training, Troubleshooting etc., any onsite visit requests may or may not be entertained at the discretion and feasibility of the company. For onsite visit call charges and TA, DA to be paid as per the norms of the company.

All the clients are advised to be in AMC in continuation immediately after warranty period without any break up period.
